User Agreement

This User Agreement (the “Agreement”) is a binding contract between you and Adonait (“Adonait Home,” “we,” “us”) governing your use of the Adonait Home marketplace at onlinestore.adonait.com (the “Service”), whether you use it as a visitor, a buyer, or a vendor. By creating an account, placing an order, listing a product, or otherwise using the Service, you agree to this Agreement, our Conditions of Use, our Privacy Notice, and our Cookie Notice.
1. The Service and our role
Adonait Home is an online marketplace that connects independent third-party vendors with buyers. Adonait is not the seller, manufacturer, or shipper of products and does not take title to them. Vendors are the sellers and merchants of record and are solely responsible for their products and orders.
2. Eligibility and accounts
You must be at least 18 and able to enter a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. You must notify us of any unauthorized use.
3. Buyer terms
When you place an order you make an offer to purchase from the relevant vendor. Prices, availability, and product details are provided by vendors and may change. Shipping, returns, and refunds are governed by the vendor’s policy and our published policies. You agree to provide accurate information and to pay the amounts due at checkout.
4. Vendor terms
If you list products, you represent that you have the right to sell them and that your listings are accurate and lawful. You are responsible for product quality and safety, pricing, inventory, fulfillment, shipping, tracking, returns, taxes, and compliance with all applicable laws. You authorize Adonait to facilitate transactions and to deduct its commission from proceeds before payout. You may not list counterfeit, unsafe, recalled, illegal, or prohibited items. 5. Payments
Payments are processed by Stripe. Adonait collects payment on behalf of vendors and remits proceeds less its commission. You authorize these transactions and the associated processing.
6. Acceptable use
You agree not to: break the law; infringe intellectual-property or privacy rights; post false, misleading, or harmful content; interfere with the Service or its security; scrape or harvest data without permission; or misuse the marketplace. We may remove content and suspend accounts that violate this Agreement.
7. Content and license
You retain ownership of content you submit (such as listings and images) and grant Adonait a non-exclusive, worldwide, royalty-free license to host, display, and use it to operate and promote the marketplace. You are responsible for having the rights to any content you submit.
8. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access, remove listings, or close accounts that violate this Agreement or the law, or to protect the marketplace, buyers, or vendors.
9. Disclaimers and limitation of liability
The Service and all products are provided “as is.” To the fullest extent permitted by law, Adonait disclaims all warranties and shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any product, order, defect, injury, loss, or dispute. Adonait’s total liability for any claim shall not exceed the commission actually received on the relevant order. You use the Service and purchase from vendors at your own risk.
10. Indemnification
You agree to indemnify and hold harmless Adonait and its owners, affiliates, and agents from any claim arising out of your use of the Service, your content, or your violation of this Agreement or any law or third-party right.
11. Governing law and disputes
This Agreement is governed by the laws of the State of Florida, USA. Any dispute shall be resolved in the state or federal courts located in Miami-Dade or Broward County, Florida.
12. Changes to this Agreement
We may modify this Agreement at any time. Material changes will be posted here; continued use after changes constitutes acceptance. Questions? See our Contact page.
